Investor Relations Policy



1.1   CapitaLand Investment (CLI or the Company) is committed to keeping both individual and institutional shareholders, as well as the investor community at large, well informed of all major developments affecting the state of affairs of the Company.

1.2   The aim of this Policy is to ensure that Shareholders and the investor community at large, are provided with timely and equal access to balanced and clear information about CLI (including its strategies, businesses, financial performance, governance and material developments) to enable a two-way communication between them and the Company. Importantly, enabling access to such information will allow Shareholders and the investor community at large to exercise their rights in an informed manner.

1.3   In this Policy, references to the investor community include CLI's potential investors as well as sell-side research analysts reporting and analysing CLI's performance.
2.1   At all times, the Company is committed to making timely, full and accurate disclosure in accordance with the relevant regulations. This includes distributing other corporate communication materials1 to Shareholders and the investor community.

2.2   All disclosures submitted to the Singapore Exchange Securities Trading Limited ("SGX-ST") through SGXNET are also available on the Company's corporate website.

2.3   This Policy is subject to regular review by the Company to ensure its effectiveness. Updates and amendments (as appropriate) will be made to reflect current best practices in our communication with Shareholders and the investment community.

Notes:

  1. Other corporate communication materials refer to any document issued or to be issued by the Company for the information or action of its Shareholders, including, but not limited to, the annual report, a notice of meeting, a circular and a proxy form.
3.1   The Company is committed to treating all Shareholders fairly and equitably.

3.2   Shareholders are entitled to participate in and vote at general meetings of the Company. Shareholders are also informed of the rules, including voting procedures, that govern general meetings of the Company.

4.1   The Company strives to provide pertinent and accurate information to its Shareholders and the investment community in an effective and timely manner.

4.2   The Company uses clear and plain language in its communication with its Shareholders.

4.3   The Company endeavours to provide a consistent level of disclosure on both positive and negative developments of the Company.

4.4   The Company communicates only through its designated spokespersons.

4.5   The Company and designated spokespersons will establish and maintain regular dialogue with Shareholders to solicit and understand the views of the Shareholders through analysts and media briefings, investor roadshows or investor briefings.

4.6   The Company does not respond to rumours. However, if rumours indicate that material information has been leaked or they are in fact false or inaccurate, the rumours will be promptly denied or clarified via announcements made through SGXNET to SGX-ST.

4.7   The Company will give reasonable access to analysts and the media to help them formulate informed opinions of the Company but will not seek to influence those opinions.

4.8   The Company observes a prescribed 'blackout period' prior to the announcement of its financial results. During this period, the Company does not comment on industry outlook, the Group's business performance and financial results, unless such information has already been publicly disclosed.

5.1   The Company actively engages its Shareholders and the investor community via:

(i)   Annual General Meeting ("AGM");

(ii)   analysts and media briefings for half-year and full-year financial results, with "live" webcasts available for viewing on the Company's corporate website;

(iii)   one-on-one/group meetings or conference calls, locally or overseas;

(iv)   site, property and mall visits;

(v)   annual reports;

(vi)   news releases and statements; and

(vii)   corporate website ( www.capitalandinvest.com ).

Investors' Communication

5.3   The Company meets with investors, the media and analysts regularly and participates in investor roadshows, and sector conferences throughout the year.

5.4   Upon the release of half-year and full-year financial results, the Company holds media and analysts' briefings. "Live" webcasts of the briefings are recorded and archived on the corporate website within a reasonable time after the briefing.

Shareholders' Meetings

5.5   The Company's AGM is the principal communication channel with Shareholders.

5.6   Shareholders will be notified of the AGM via electronic means.

5.7   Notices of the general meetings setting out all items of business to be transacted at the general meeting, are also announced via SGXNET to SGX-ST.

5.8   Members of the Board, the Company's senior management and the external auditors of the Company are in attendance at all general meetings to address Shareholders' queries. Shareholders are given the opportunity to communicate their views on various matters affecting the Company. A Shareholder is allowed to appoint up to two proxies to attend and vote at the general meetings in his/her stead. In the case of corporations which provide nominee or custodial services, they may appoint more than two proxies so that Shareholders who hold shares through such corporations can attend and participate in general meetings as proxies, in accordance with the prevailing laws.

5.9   The Company supports voting by poll at all general meetings and the poll results are announced via SGXNET to SGX-ST on the same day of each Shareholders' meeting.

5.10   The Company maintains a corporate website (www.capitalandinvest.com). The Company's business developments and operations, financial reports, announcements, news releases and other information are posted on its corporate website. Both current information and archives of previously released information including presentation slides and announcements can be found under the "Financials Related" section of the corporate website.
